NMOTION EQUESTRIAN, LLC BILL OF SALE AUCTION TERMS

This agreement is made between NMotion Equestrian LLC Herein after referred to as SELLER and winning bidder ____________________ referred to as BUYERS, for the purchase and sale of the horse(s) described below on the following terms and conditions of sale: 


A. *** 24 hour binder for insurance upon close of auction through The Marks Agency Inc.  - Bidders must complete forms to conintue covergage that will be provided. 

B. SELLER guarantees that she (he) has a clear title to said horse(s).

C. SELLER makes no other guarantees, expressed or implied, including size, the guarantee of fitness for a particular purpose and sells AS IS.

D. Risk of Loss: Upon BUYERS winning bid  on said horse(s) BUYER becomes responsible for all aspects of ownership and care of said horse(s) and shall assume all risk of loss of said horse(s). This includes, but is on limited to,  transport, vet assistance and medical expenses to said horse(s).

E. Insurance: BUYER assumes risk of loss of said horse(s). BUYER is advised by SELLER to obtain Mortality and Theft Insurance on said horse(s).

F. Law: The terms of this Agreement and disputes developing thereunder shall be Enforced and construed in accordance with the laws of the State of Florida.

G. Default: Upon material breach of the Agreement by one party, the other party May terminate same. On any breach, the other party shall have the right to Recover from said breaching party all reasonable Attorney’s Fees and Court Costs. All deposits and payments made on said horse/s are non-refundable. The SELLER has the right to REMOVE said horse(s) from BUYERS property Upon failure to abide by payments set in this contract at BUYERS expense.

H. If mare is offered in foal the Seller will offer a LFG for a foal which stands and nurses within 24 hours.  Seller must be notified upon the foal delivery within 1 hour and should if not recieve a written vet statement wtihin 24 hours of foaling of a foal that was still born or not nursing the LFG will be null and void. Should the particular stallion become unfit for breeding or die the Seller may offer another stallion for replacment should the Buyer not accept the LFG will become null and void. 

F. Executed this 30th day of October 2025.
